TODMORDEN TOWN TWINNING ASSOCIATION CONSTITUTION

 

  1. NAME OF THE ASSOCIATIONThe name of the Association shall be Todmorden Town Twinning Association
  2. AIMS OF THE ASSOCIATON 

    a) To promote and foster friendship and understanding between the people of Todmorden and district and those of Bramsche and district in Germany and Roncq, France and those of other towns with which the Association may later form links.
    b)        To encourage visits by individuals and groups to and from linked towns, particularly by children and young people, and the development of personal and group contacts, and by doing so to broaden the mutual understanding of the cultural, recreational, education and commercial activities of the linked towns.
    c)         To organise fund raising activities to foster the aims of the Todmorden Town Twinning Association.

  3. MEMBERSHIP 

    Membership shall be open to all persons or organisations in sympathy with the aims of the Association. There shall be three categories of membership:
    a) Individual membership.
    b)        Family membership, being open to all members of a family excepting sons and daughters over the age of eighteen years.
    c)         Corporate membership. Corporate membership does not, of itself, entitle members or employees of the organisation, which is a member, of the right of individual or family membership. Corporate membership entitles not more than two members of the organisation to the same rights conferred on individual or family members.
    d)        Hosting only member; free membership for hosts who do not join visits to the twin towns.
    Membership subscriptions
    The annual subscription of the Association shall be reviewed and the rate agreed at the Annual General Meeting for the year ahead.
    e)        Other than stated in 3(c) above, all people wishing to take part in organised visits to our twin towns must be paid up individual or family members of the Association.

  4. OFFICERS AND COMMITTEES 

    a) President

    The Town Mayor of Todmorden shall be invited to be President of the Association during his / her year of office.b) Officers

    The Association shall appoint a Chair, Secretary, Treasurer and such other officers as it from time to time deems necessary, including a Secretary for Bramsche, Secretary for Roncq. The Chairman shall not hold office for more than three successive years.
    All officers shall be ex-officio members of the Management Committee

    c) Management Committee

    The affairs of the Association shall be conducted by the Management Committee which shall be elected at the Annual General Meeting of the Association.

  5. MANAGEMENT COMMITTEE 

    The Management Committee shall consist of twelve members and will include two to be nominated by the Town Council of Todmorden and the remaining ten to be elected by the Association, being broadly representative of organisations, clubs and individuals in Todmorden and district.
    a) The Committee shall have the power to co-opt and co-opted members shall have the right to vote. The co-opted members shall not exceed eight in number.
    b)        The quorum shall be five.
    c)         The Committee shall have the power to set up Sub committees, which shall have the power to co-opt to their membership, with power to vote. The number of members co-opted to a Sub committee shall not exceed two.
    d)        The Chair and all officers shall be ex-officio members of all Sub committees.

  6. MEETINGS 

    a) Annual General Meeting 

    The Management Committee shall call an Annual General Meeting of the Association between 1st January and 31st March each year, giving each member at least fourteen days notice by email and public advertisement.b)        Management Committee

    The Management Committee shall meet not less than quarterly and at such intervals as it may from time to time decide.

    c)         Extraordinary General Meeting

    An Extraordinary General Meeting of the Association may be called at any time on a written request signed by at least twelve members of the Association and delivered to the Honorary Secretary, containing details of the matter to be discussed. At least twenty-one days notice must be given.

  7. FINANCE 

    a) Accounts
    An audited receipts and Payments Account to 31st December of each year shall be submitted to each Annual General Meeting.b)        Money
    All monies received on behalf of the Association shall be kept in safe custody by the Treasurer and all cheques shall be signed by any two of the Chair, Treasurer, Secretary for Bramsche, Secretary for Roncq. In the case of Internet Banking transactions must be undertaken by the same officers; these transactions can be raised by one and must then be approved by a second.

  8. VOTING AT THE ANNUAL GENERAL MEETING OR A SPECIAL GENERAL MEETING 

    a) Only members present at the meeting shall be entitled to vote.
    b)        Each individual member shall be entitled to one vote and each family or corporate member shall be entitled to two votes, provided that two members of such family or organisation are present at the meeting. The meeting Chair shall have a second and casting vote.

  9. AMENDMENTS TO THE CONSTITUTION 

    Amendments to the constitution shall only be made at the Annual General Meeting or an Extraordinary General Meeting. Notice of the proposed amendment shall be given in writing to the Secretary at least twenty-one days before the meeting and details shall be given in the notice convening the meeting. No such amendment shall be carried unless not less then two thirds of the members present and voting at the meeting in its favour.

  10. DISSOLUTION OF THE ASSOCIATION. 

    In the event of the dissolution of the Association, all surplus funds shall be transferred to such charity or charities as the Committee shall in its absolute discretion decide.
